Terms of Service

1. Introduction & Acceptance
These Terms of Service (“Terms”) are a legally binding agreement between you (“Client,” “you,” or “your”) and Belvair AI, LLC, a Delaware limited-liability company (“Belvair,” “we,” “us,” or “our”).
By subscribing to a plan, making a payment, or otherwise using our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use our Services.
You represent that you are at least 18 years old (or the age of legal majority in your jurisdiction) and that you have the authority to enter into these Terms on behalf of yourself or the entity you represent.
2. Definitions
- “Services” — the web design, development, hosting, SEO, content management, and related digital services provided by Belvair under a Subscription.
- “Subscription” — the plan you select (Starter, Growth, or Scale), including any add-ons.
- “Website” — the website or web application we build and host for you as part of the Services.
- “Content” — all text, images, video, audio, data, and other materials published on or through the Website.
- “Client Content” — Content you provide or upload, including logos, photographs, copy, and business information.
- “Deliverable” — any design, prototype, code, or other work product we produce for you.
- “Personal Data” — any information relating to an identified or identifiable natural person, as defined under the General Data Protection Regulation (EU) 2016/679 (“GDPR”).
- “Platform” — the belvair.ai website and any associated dashboards, portals, or tools we make available to you.
- “Third-Party Services” — external services integrated with or used by the Services, including but not limited to Stripe, Cloudflare, Supabase, Resend, and Google Analytics.
3. Services Description
Belvair provides web design, development, hosting, SEO, and related digital services for businesses under a Website-as-a-Service (“WaaS”) model. We use AI-assisted tools combined with human expertise to design, build, and maintain your Website.
Our plans are:

Monthly content updates: After your Website is live, each plan includes a set number of content update requests per calendar month: Starter — 2 requests (48h turnaround), Growth — 5 requests (24h turnaround), Scale — unlimited requests (same-day turnaround). A “content update request” is a single change such as updating text, swapping an image, adding a service, or changing contact information. Bug fixes, security patches, and hosting maintenance are always included at no additional cost on every plan. Unused requests do not roll over to the following month.
What is not included: third-party software licences you purchase separately, paid advertising spend, stock photography beyond what we source for you, and legal or compliance advice.
4. Orders & Delivery
When you subscribe to a plan and provide your project brief and required materials, we begin work on your Website. Our delivery commitment is as follows:
- Start Date — the date we receive your complete project brief and all required materials (logo, copy, images, business information).
- 48-hour delivery — we deliver a website preview within 48 hours of the Start Date.
- Revisions (initial build) — during the initial design phase (before launch), you may request revisions until you are satisfied with the design. We include unlimited revisions within reason; requests that constitute a fundamentally new design direction may be treated as a new project. After launch, content updates are governed by your plan’s monthly allowance (see Section 3).
- Client review — you have 7 days from delivery of the preview to provide feedback. If we receive no response within 7 days, we may proceed with launch based on the delivered preview.
- Launch — once you approve the design (or the review window expires), we launch your Website within 1–2 business days. “Launch” means your Website is live on your domain with hosting, SSL, and email activated.
- Digital approval — Approval may be given electronically via the client portal or by email. Clicking “Approve & Go Live” (or responding with written confirmation) constitutes your binding acceptance that all content on your Website is accurate, complete, and ready for publication. Once approved, you acknowledge that: (a) you have reviewed all text, images, prices, contact details, and claims on the Website; (b) you are solely responsible for the accuracy of the published content; (c) Belvair is not liable for any errors, omissions, or inaccuracies in content that you approved; and (d) any post-launch corrections are subject to your plan’s revision allowance (see Section 3). We log your approval (email address, timestamp, and approved version) as a record of your acceptance.
We are not responsible for delays caused by incomplete information, unresponsive communication, or third-party services (domain registrars, DNS propagation, payment processors).
5. Plans & Pricing
All prices are in Euros (€) and are exclusive of VAT unless otherwise stated. VAT is calculated at checkout based on your country of residence and added to the price where required by law.
Our plans are priced as one-time project fees (not recurring subscriptions). You pay once at checkout for the selected plan. Ongoing hosting and maintenance are included for 12 months from the date of purchase. We may adjust published pricing at any time; however, the price confirmed at your checkout is fixed for your purchase.
6. Payment Terms
All payments are processed by Stripe (Stripe, Inc. and its affiliates). Your plan fee is charged on a one-time basis at the time of purchase.
- Payment is due in full at checkout. Work begins only after successful payment confirmation.
- If a payment fails, we will retry the charge up to 3 times over 10 days. You will receive an email notification after each failed attempt.
- If payment is not resolved within 14 days, your order is cancelled and no work will commence. If your Website is already hosted and a renewal payment fails, hosting is suspended (site goes offline). Your data is retained for 30 days after suspension.
- If payment is not resolved within 30 days, we may permanently delete your hosted content.
To update your payment method or resolve a billing issue, visit your Stripe customer portal or email hello@belvair.ai.
7. Auto-Renewal
One-time purchases do not auto-renew. Hosting and maintenance are included for 12 months from the date of purchase. Before your hosting period expires, we will notify you by email with options to renew hosting, upgrade your plan, or export your Website. If you take no action, hosting will lapse at the end of the 12-month period and your Website will go offline.
8. Cancellation
You may cancel your Subscription at any time by:
- Emailing hello@belvair.ai with the subject line “Cancel Subscription” and your business name; or
- Using the cancellation option in your client dashboard (when available).
Upon cancellation:
- Your Website remains live until the end of your current billing period.
- After the billing period ends, hosting is deactivated and your Website goes offline.
- We transfer your domain to your own registrar account within 14 days of your request, subject to final payment being up to date (see Section 14).
- Your content (text, images, data you provided) always belongs to you and can be exported at no charge.
- Website Export Package — If you wish to receive the full compiled Website files (HTML, CSS, JavaScript, images) and design assets to host independently, a one-time export fee applies based on the length of your Subscription:
- 0–6 months subscribed: 6× your monthly plan fee
- 7–12 months subscribed: 3× your monthly plan fee
- 13–18 months subscribed: 1× your monthly plan fee
- 18+ months subscribed: free — no export fee
- We retain your data for 30 days after cancellation in case you wish to resubscribe.
9. Hosting Renewal (Maintenance Plan)
After your included 12-month hosting period ends, you may continue hosting your Website under our Maintenance Plan:
- Your Website stays live with hosting, SSL, and security updates.
- Active marketing features (lead notifications, booking automation, monthly content edits, priority support) are paused unless you upgrade to a higher plan.
- You can upgrade to any full plan at any time. A new one-time project fee applies for significant redesigns or new features.

10. Refund Policy
We offer a 30-day money-back guarantee. If you are not satisfied with our Services within 30 days of your first payment, you may request a refund of your first monthly payment. See our Refund Policy for complete details, eligibility criteria, and the refund process.
11. EU Right of Withdrawal
If you are a consumer in the European Union or the European Economic Area, you have the right to withdraw from this contract within 14 days of the date of purchase without giving any reason (“cooling-off period”).
Waiver for digital services begun during the cooling-off period: Because our Services involve digital content that is not supplied on a tangible medium, we ask for your express consent to begin performance before the 14-day withdrawal period expires. By subscribing and expressly consenting at checkout, you acknowledge that you lose your right of withdrawal once we have fully performed the Services. If performance has only partially begun, you retain the right to withdraw and we will refund a proportionate amount.
To exercise your right of withdrawal, send a clear statement to hello@belvair.ai. You may use the model withdrawal form provided in Annex I(B) of Directive 2011/83/EU, though it is not obligatory.
12-month extension warning: if we fail to inform you about your right of withdrawal before the contract is concluded, the withdrawal period extends by 12 months from the end of the original 14-day period.
12. Intellectual Property
- Belvair’s ownership — All website code, design, templates, frameworks, and proprietary tools created by Belvair remain the intellectual property of Belvair AI, LLC.
- Client licence — For the duration of your active Subscription, we grant you a non-exclusive, non-transferable, revocable licence to use the Deliverables solely in connection with your business. This licence terminates when your Subscription ends.
- Buyout option — You may purchase the compiled Website files (HTML, CSS, images) at any time via the Website Export Package described in Section 8. The export fee is based on the length of your active Subscription and decreases the longer you remain a subscriber. After 18 months of continuous subscription, the export is free. The export does not include Belvair source code, proprietary templates, or platform access.
- Portfolio use — We may feature your Website in our portfolio, case studies, and marketing materials unless you notify us in writing that you object.
- Client Content — You retain all ownership rights to your Client Content. By providing Client Content to us, you grant Belvair a non-exclusive, worldwide licence to use, display, and reproduce it solely to perform the Services.
- Belvair brand — You may not use the Belvair name, logo, or brand without our prior written permission.
13. AI-Generated Content
We use artificial-intelligence tools (including large language models and image generators) to assist in the creation of website copy, imagery, and design elements.
- Disclosure — Content produced with AI assistance will not always be individually labelled. By accepting these Terms you acknowledge that AI tools are part of our production process.
- Copyright status — The copyright status of purely AI-generated content may vary by jurisdiction. We do not guarantee that AI-generated content is eligible for copyright protection in your country.
- Accuracy — AI-generated text may contain inaccuracies, including incorrect prices, business hours, service descriptions, or contact details. We make reasonable efforts to review AI output, but you are solely responsible for verifying the accuracy of all Content published on your Website before giving your approval under Section 4. By approving your Website for launch, you confirm that you have reviewed all factual claims, statistics, prices, credentials, and legal or regulatory statements. Belvair accepts no liability for errors in approved Content.
- Third-party claims — If a third party asserts that AI-generated Content on your Website infringes their rights, we will promptly remove or replace the disputed Content. Liability for such claims is governed by Sections 19–21.
14. Domain Names
- Beneficial ownership — You are the beneficial owner of any domain name registered or transferred on your behalf as part of the Services.
- Management — We manage your domain through Cloudflare Registrar. Annual domain renewal is included in your Subscription at no extra cost.
- Transfer after termination — Upon termination of your Subscription and provided all outstanding payments are settled, we will initiate the transfer of your domain to a registrar of your choice within 14 days of your written request. We will provide the EPP/authorisation code needed to complete the transfer.
- Lapse risk — If you do not request a domain transfer within 60 days of termination and do not have an active Lite Plan, we are not obligated to continue renewing the domain on your behalf. Lapsed domains may become available for registration by third parties.
15. Service Level
We target 99.9% uptime for all hosted Websites, measured monthly. Uptime excludes:
- Scheduled maintenance (announced at least 24 hours in advance).
- Downtime caused by factors outside our reasonable control, including DNS propagation, upstream provider outages, force majeure events, and Client-caused issues.
Service credits: If we fail to meet the 99.9% uptime target in a given calendar month, you are entitled to a service credit equal to one week of your Subscription fee, applied to your next invoice. To claim a service credit, email hello@belvair.ai within 30 days of the affected month.
Service credits are your sole and exclusive remedy for downtime. Credits do not accumulate beyond one month’s Subscription fee.
16. Client Obligations
You agree to:
- Provide accurate, complete, and lawful business information and Client Content.
- Respond to our requests for information or feedback within 5 business days. Persistent non-responsiveness (three or more unanswered requests) may result in project delays for which we bear no liability.
- Not tamper with, reverse-engineer, or make unauthorised changes to the Website code, hosting configuration, or DNS settings unless you have purchased a buyout.
- Maintain a valid payment method on file and keep your contact details up to date.
17. Acceptable Use
You agree not to use our Services to host, distribute, or promote:
- Content that is illegal under applicable law.
- Malware, spyware, phishing, or spam.
- Content that infringes the intellectual property rights of others.
- Hate speech, discriminatory material, or content that incites violence.
- Deceptive or misleading content, including fake reviews or fraudulent business claims.
Regulated industries: If your business operates in a regulated industry (healthcare, finance, legal, gambling), you are solely responsible for ensuring that your Website content complies with all applicable regulations. We do not provide legal or compliance advice.
Enforcement: We reserve the right to suspend or terminate your Services without notice if you breach this Acceptable Use policy. Where practicable and legally permitted, we will give 7 days’ notice and an opportunity to cure before termination.
18. Data Protection
We take data protection seriously and comply with the GDPR and other applicable data protection laws. See our Privacy Policy and GDPR Compliance page for full details.
- Controller/Processor roles — You are the data controller for Personal Data collected through your Website. Belvair acts as a data processor on your behalf.
- Sub-processors — We use the following sub-processors to deliver the Services: Cloudflare (hosting, DNS, CDN), Stripe (payment processing), Supabase (database), and Resend (transactional email). We maintain an up-to-date sub-processor list and will notify you of changes.
- Client’s obligation — You must maintain a privacy policy on your Website that accurately describes how you collect, use, and protect Personal Data.
- Data Processing Agreement — By subscribing to the Services, you agree to our Data Processing Agreement (DPA), which forms part of these Terms and meets the requirements of Article 28 GDPR.
- Breach notification — In the event of a personal data breach affecting your data, we will notify you without undue delay and in any case within 72 hours of becoming aware of the breach.
19. Warranties & Disclaimers
We warrant that we will perform the Services with reasonable skill and care, consistent with generally accepted industry standards.
To the maximum extent permitted by applicable law, all other warranties — express or implied — are excluded. In particular:
- We do not guarantee any specific search engine ranking, website traffic volume, number of leads, or revenue outcome.
- We do not warrant that the Services will be uninterrupted, error-free, or free of security vulnerabilities.
- AI-generated content is provided “as is.” We do not warrant its accuracy, originality, or fitness for a particular purpose.
Nothing in these Terms excludes or limits your statutory rights as a consumer under EU law or the mandatory consumer protection laws of your country of residence.
20. Limitation of Liability
To the maximum extent permitted by applicable law, Belvair’s total aggregate liability for all claims arising out of or related to these Terms or the Services — whether in contract, tort (including negligence), strict liability, or otherwise — is limited to the total fees you have paid to us in the 12 months preceding the event giving rise to the claim.
We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill.
Carve-outs: Nothing in these Terms limits liability for:
- Death or personal injury caused by negligence.
- Fraud or fraudulent misrepresentation.
- Gross negligence or wilful misconduct.
- Breaches of data protection law (including GDPR) to the extent liability cannot be limited by law.
- Any other liability that cannot be excluded or limited by applicable law.
21. Indemnification
Client indemnity: You agree to indemnify, defend, and hold harmless Belvair and its officers, directors, and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your Client Content; (b) your breach of these Terms or the Acceptable Use policy; or (c) your violation of any applicable law or third-party right.
Belvair indemnity: We agree to indemnify, defend, and hold you harmless from any claims that the Deliverables (excluding Client Content and AI-generated content) infringe a third party’s intellectual property rights, provided you promptly notify us of the claim and give us reasonable control over its defence.
22. Termination
By you: You may terminate your Subscription at any time as described in Section 8.
By Belvair for cause: We may suspend or terminate your Subscription immediately or with notice if:
- You fail to pay any amount due within 15 days of the due date.
- You breach the Acceptable Use policy (Section 17) and fail to cure within 7 days of written notice.
- You materially breach any other provision of these Terms and fail to cure within 14 days of written notice.
By Belvair without cause: We may terminate your Subscription for any reason by providing at least 30 days’ written notice. In this case, we will issue a pro-rata refund for any prepaid period remaining after the effective termination date.
Post-termination: Upon termination, Sections that by their nature should survive (including Intellectual Property, Limitation of Liability, Indemnification, Dispute Resolution, and Data Protection) will continue in effect. We will assist with domain transfer and data export as described in Sections 8 and 14.
23. Dispute Resolution
Informal resolution: Before filing any formal proceeding, you agree to contact us at hello@belvair.ai and attempt to resolve the dispute informally for at least 30 days.
Governing law: These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict-of-law principles.
EU consumer exception: If you are a consumer habitually resident in the EU/EEA, you retain the benefit of any mandatory consumer protection provisions of the law of your country of residence. Nothing in these Terms deprives you of the right to bring proceedings in the courts of your habitual residence.
Online Dispute Resolution: The European Commission provides an Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr.
24. General Provisions
- Force majeure — Neither party is liable for delays or failures in performance resulting from causes beyond its reasonable control, including natural disasters, war, terrorism, pandemics, government actions, power failures, internet disruptions, or third-party service outages.
- Changes to these Terms — We may update these Terms from time to time. We will give you at least 30 days’ notice of material changes by email. If you are an EU consumer and do not agree with the changes, you have the right to terminate your Subscription before the changes take effect. Continued use of the Services after the effective date constitutes acceptance.
- Entire agreement — These Terms, together with our Privacy Policy and Data Processing Agreement, constitute the entire agreement between you and Belvair with respect to the Services.
- Severability — If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions continue in full force and effect.
- Assignment — You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or successor entity, provided the assignee assumes all obligations under these Terms.
- No waiver — Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
- Language — These Terms are drafted in English. If translated into another language, the English version controls in the event of any conflict.
